Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TransNet Inc. ("TransNet Inc.", "we", "us", or "our") governing your access to and use of the website located at transnetinc.com and any related applications, dashboards, tools, content, features, or services we make available (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

These Terms apply to all users of the Service, including visitors and registered account holders. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity, in which case "you" and "your" refer to that entity.

Definitions

"Content" means any data, text, graphics, charts, analytics, research, market information, tools, software, code, documentation, and other materials available through the Service.

"User Content" means any content submitted, uploaded, posted, or otherwise provided by you to the Service, including comments, feedback, or data inputs.

"Market Data" means any information regarding cryptocurrencies, blockchain networks, equities, indices, derivatives, macroeconomic indicators, on-chain metrics, pricing, order books, volumes, news, and corporate or protocol events presented through the Service.

Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. You may need to register an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately of any unauthorized use or security breach. We may require multi-factor authentication and may disable or suspend accounts to protect the Service or other users.

Description of the Service

The Service is a market intelligence hub providing real-time and historical Market Data, curated news, tools, analytics, technical indicators, and research covering cryptocurrencies, blockchain projects, equities, and indices. The Service may include charts, signals, watchlists, backtesting utilities, alerts, and commentary.

The Service is informational and educational in nature. We do not execute trades or provide brokerage or advisory services. Availability of specific features may vary by plan, region, and device. We may modify, suspend, or discontinue any part of the Service at any time.

Market Data, News, and Research Disclaimers

Market Data may be provided by third-party sources and may be delayed, incomplete, incorrect, interrupted, or subject to change without notice. We do not guarantee the accuracy, timeliness, completeness, or reliability of any Market Data, news, research, or analysis. You use all information at your own risk.

Past performance is not indicative of future results. Backtests, simulations, and model outputs are hypothetical and subject to inherent limitations. Assumptions, data errors, slippage, liquidity constraints, and model risk can materially affect outcomes.

No Investment, Legal, or Tax Advice

Nothing in the Service constitutes investment, legal, accounting, or tax advice, or a recommendation to buy, sell, or hold any security, cryptocurrency, or other financial instrument. Decisions based on information contained in the Service are your sole responsibility. Consult your own professional advisors.

Not a Broker-Dealer or Investment Adviser

TransNet Inc. is not a broker-dealer, investment adviser, commodity trading adviser, or money transmitter, and does not custody assets, route, or execute orders. References to securities, digital assets, or strategies are for informational purposes only.

Acceptable Use

You agree not to misuse the Service or help anyone else do so. Without limitation, you will not:

  • Access, use, copy, or distribute Content or Market Data except as expressly permitted by these Terms.
  • Scrape, crawl, harvest, index, or use automated means (including bots, spiders, or scripts) to access the Service or extract data, except as permitted in a written agreement signed by us.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service.
  • Interfere with or disrupt the integrity, performance, or security of the Service or related systems.
  • Upload malicious code or engage in activities that introduce vulnerabilities.
  • Use the Service to develop or train competing models, products, or services, or to benchmark in a misleading manner.
  • Infringe or violate the intellectual property, privacy, or other rights of TransNet Inc. or third parties.
  • Use the Service for unlawful, deceptive, or fraudulent purposes or in violation of applicable laws and regulations, including sanctions and export control laws.
  • Circumvent usage limits, paywalls, rate limits, or authentication mechanisms.

License and Intellectual Property

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. All rights not expressly granted are reserved by TransNet Inc. and its licensors.

The Service, including all Content, Market Data, software, designs, trademarks, service marks, trade names, logos, and look-and-feel (collectively, "TransNet Materials"), are owned by or licensed to TransNet Inc. and are protected by intellectual property and other laws. You may not remove, obscure, or alter any proprietary notices.

User Content and Feedback

You retain your rights to User Content that you submit to the Service, subject to the licenses granted herein. By submitting User Content, you grant TransNet Inc. a worldwide, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, improving, and promoting the Service.

If you provide feedback, ideas, or suggestions, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without attribution or compensation.

Data Access, APIs, and Rate Limits

We may offer programmatic or bulk data access under separate terms. Unless expressly authorized in a signed agreement, you may not access the Service via any non-public API, bypass rate limits, or engage in bulk downloading. We may monitor usage and enforce limits to maintain service quality.

Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of your information as described therein. Where required by law, we will obtain your consent for certain processing activities.

Subscriptions, Billing, and Taxes

Certain features may require a paid subscription or other fees. Prices, features, and availability are subject to change. You authorize us and our payment processors to charge your payment method for all fees due, including applicable taxes, and to store your payment information as permitted by law.

Unless otherwise stated, subscriptions renew automatically at the end of each term at the then-current rate. You may cancel renewal as described in your account settings; cancellation takes effect at the end of the current billing period. We may correct pricing errors and will notify you if a correction materially affects your charges.

Free Trials, Upgrades, Downgrades, and Refunds

We may offer free trials or promotional periods. If you do not cancel before the trial ends, you authorize us to begin billing. Upgrades take effect immediately; downgrades may occur at the next renewal. Except where required by law or expressly stated, all fees are non-refundable and non-creditable.

Third-Party Services and Content

The Service may reference or interoperate with third-party services, data providers, news sources, exchanges, brokers, or analytics vendors. We do not control and are not responsible for any third-party services or content. Your use of third-party services may be subject to separate terms and privacy policies.

Export Controls, Sanctions, and Restricted Jurisdictions

You represent that you are not located in, organized in, or a resident of any country or territory subject to comprehensive U.S. sanctions, and that you are not a denied or restricted party. You agree to comply with U.S. export controls and sanctions and will not use the Service for prohibited purposes.

High-Risk Activities

The Service is not designed for use in hazardous environments or for purposes where failure could lead to death, personal injury, or severe environmental or property damage. You assume all risk for such uses.

Beta Features

We may label certain features as alpha, beta, preview, or experimental. Such features are provided "as is" without warranties, may be changed or discontinued at any time, and may be subject to additional terms.

Service Availability and Changes

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. Scheduled and unscheduled downtime may occur. We may modify or discontinue the Service or any feature at any time without liability.

Disclaimers of Warranties

To the maximum extent permitted by law, the Service and all Content and Market Data are provided "as is" and "as available" with all faults and without warranties of any kind, express or implied, including warranties of accuracy, completeness, timeliness, reliability, merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. Your use of the Service is at your sole risk.

Limitation of Liability

To the maximum extent permitted by law, in no event will TransNet Inc., its affiliates, directors, officers, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business interruption, arising out of or related to your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to TransNet Inc. for the Service giving rise to the claim during the twelve months before the event giving rise to liability; or (b) one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some parts of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless TransNet Inc., its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of any intellectual property or other rights.

Arbitration Agreement and Class Action Waiver

Please read this section carefully. It requires binding arbitration and includes a waiver of class actions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be determined by binding arbitration administered by a recognized arbitral forum and governed by the Federal Arbitration Act. The seat and venue of arbitration will be Lake County, Ohio, unless required otherwise by law. The language of the arbitration will be English. The arbitrator has exclusive authority to resolve disputes regarding the scope, enforceability, or formation of this arbitration agreement.

You and TransNet Inc. agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.

You may opt out of this arbitration agreement by sending written notice to TransNet Inc. within 30 days of first accepting these Terms. Send your opt-out notice to the address in the Contact Information section, with the subject line "Arbitration Opt-Out," including your full name, address, and the email associated with your account.

Nothing in this section prevents you or us from seeking provisional or injunctive relief in a court of competent jurisdiction, or from bringing an individual action in small claims court if the claim qualifies.

Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Ohio and the United States, without regard to conflict of laws principles. Subject to the arbitration agreement, the exclusive jurisdiction and venue for actions that are not subject to arbitration will be the state and federal courts located in Lake County, Ohio, and you consent to the personal jurisdiction of such courts.

Copyright and DMCA Policy

We respect intellectual property rights. If you believe that material available through the Service infringes your copyright, send a written notice that complies with 17 U.S.C. § 512(c)(3) to our designated agent with the following: (a) a physical or electronic signature of the owner or authorized agent; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Electronic Communications and Notices

By using the Service, you consent to receive communications from us electronically, including emails, notices, and messages posted within the Service. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Legal notices to TransNet Inc. must be sent to the address below with a copy by email. Notices are deemed given when received by us.

Suspension and Termination

We may suspend or terminate your access to the Service or any portion thereof at any time, with or without notice, if we believe you violated these Terms, pose a security or legal risk, or for any reason in our discretion. Upon termination, your license to use the Service ends immediately, and you must cease all use. Sections that by their nature should survive termination will survive, including those on intellectual property, disclaimers, limitations, indemnification, governing law, arbitration, and general terms.

Modifications to Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms on the Service or by other reasonable means. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No waiver of any term will be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms will not constitute a waiver.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Force Majeure

We will not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including acts of God, labor disputes, war, terrorism, civil disturbances, pandemics, governmental orders, failures of telecommunications or networks, or utility outages.

Entire Agreement

These Terms, together with any applicable order, plan terms, and policies referenced herein, constitute the entire agreement between you and TransNet Inc. regarding the Service and supersede all prior or contemporaneous agreements on the subject matter.
